What the service does

Counterline resolves each quote line against the buying company’s catalog in Shopify, records negotiation between merchant and buyer, and converts accepted quotes into B2B draft orders carrying the purchasing company, location and contact.

Your Shopify account

Counterline operates on data in your Shopify store using the access scopes you grant at install. You are responsible for the accuracy of the catalogs, price lists, companies and payment terms it reads. If a product is absent from a company’s price list, Counterline will say so rather than silently substitute a retail price — but it cannot correct pricing data that is wrong in Shopify.

Pricing and quotes

A quote produced by Counterline is an offer between a merchant and their customer. Mama Dog LLC is not a party to it, and is not responsible for the commercial terms of any quote or order. Verify quotes before sending them, particularly where a negotiated price falls below cost.

Plans and billing

Paid plans are billed through Shopify’s managed pricing and appear on your Shopify invoice. Plan limits — quote volume and seats — are enforced by the app. Changing plans takes effect according to Shopify’s billing rules. Cancellation is by uninstalling the app; Shopify handles proration.

Only capabilities that are built and enforced are sold. Features described as planned are not part of any plan until they ship.

Acceptable use

Do not use Counterline to send unsolicited bulk email, to misrepresent prices to buyers, or to attempt to access another merchant’s data. Automated access that degrades the service for others may be rate limited or suspended.

Availability

The service is provided as is, without warranty of uninterrupted availability. Scheduled maintenance and Shopify API changes can affect it. Where Shopify changes an API in a way that alters how prices resolve, the fix will be treated as urgent, because a wrong price is the most damaging failure this app can have.

Limitation of liability

To the extent permitted by law, Mama Dog LLC’s total liability arising from use of Counterline is limited to the amount paid for the service in the twelve months preceding the claim. Neither party is liable for indirect or consequential loss.

Termination

You may stop using Counterline at any time by uninstalling it. Data retention after uninstall is described in the Privacy Policy. We may suspend an account that breaches these terms, and will say why.

Governing law

These terms are governed by the laws of the State of Texas, United States, and disputes are subject to the exclusive jurisdiction of the courts located there.
