What the service does

Counterline resolves each quote line against the buying company’s catalog in Shopify, records negotiation between merchant and buyer, and converts accepted quotes into B2B draft orders carrying the purchasing company, location and contact.

Your Shopify account

Counterline operates on data in your Shopify store using the access scopes you grant at install. You are responsible for the accuracy of the catalogs, price lists, companies and payment terms it reads. If a product is absent from a company’s price list, Counterline will say so rather than silently substitute a retail price — but it cannot correct pricing data that is wrong in Shopify.

Pricing and quotes

A quote produced by Counterline is an offer between a merchant and their customer. Mama Dog LLC is not a party to it, and is not responsible for the commercial terms of any quote or order. Verify quotes before sending them, particularly where a negotiated price falls below cost.

Plans and billing

Paid plans are billed through Shopify’s managed pricing and appear on your Shopify invoice. Plan limits — quote volume and users — are enforced by the app. Changing plans takes effect according to Shopify’s billing rules. Cancellation is by uninstalling the app; Shopify handles proration.

Only capabilities that are built and enforced are sold. Features described as planned are not part of any plan until they ship.

Support. We aim to reply to support email within 2 business days, and within 1 business day on the Scale plan, which includes priority support. Those are first-response targets in business hours, Monday to Friday — the time until a person answers, not until a problem is solved. Write to support@counterline.app.

Acceptable use

Do not use Counterline to send unsolicited bulk email, to misrepresent prices to buyers, or to attempt to access another merchant’s data. Automated access that degrades the service for others may be rate limited or suspended.

Data protection

This section is the data processing agreement between you and Mama Dog LLC. It applies whenever Counterline processes personal data belonging to your customers, and it takes precedence over anything inconsistent elsewhere in these terms.

Roles. You are the data controller for your customers’ personal data. Mama Dog LLC is a processor acting on your documented instructions, which for these purposes are your installation of the app and your use of its features.

What is processed, and why. Counterline processes a buyer’s name and email address, their Shopify customer and company contact identifiers, any note they type into a quote request, and the messages exchanged during a negotiation. It does this to address a quote to a named buyer, to send that buyer their quote link and expiry reminders, and to attribute messages in the negotiation thread. It does not process shipping or billing addresses, phone numbers, or payment instruments.

Limits. We process this data only to provide the service and on your instructions. We do not sell it, share it with data brokers, or use it for advertising, profiling, or training machine learning models.

Confidentiality and security. Access is limited to people who need it to operate or support the service, and they are bound to keep it confidential. Data is encrypted in transit and at rest, every query is scoped to the shop that owns the record, and credentials are held as deployment secrets rather than in code. The Privacy Policy describes this in more detail.

Subprocessors. Two, both necessary to run the service: Fly.io for application hosting and the database, and Resend for delivering transactional email. Resend receives a buyer’s email address and the contents of the quote being sent. We will update the list in the Privacy Policy before any new subprocessor begins processing your customers’ data, so that you can object.

Location. Data is stored in the United States, in Fly.io’s Ashburn, Virginia region.

Assisting with data subject requests. Shopify’s customer data request, customer redaction and shop redaction webhooks are implemented and acted on. A customer redaction clears the buyer’s name, email, customer identifier and notes from the quotes they appear on, and their name from messages they sent, while leaving the commercial record of what was quoted. If you need help with a request the webhooks do not cover, contact support and we will assist.

Deletion. Uninstalling the app causes Shopify to send a shop redaction request 48 hours later, on which we delete the shop’s record and everything relating to it — quotes, lines, events, messages, approvals, sessions and error records. You may ask us to delete earlier by contacting support.

Personal data in diagnostics. Server errors are recorded for 30 days so that failures can be investigated. Email addresses, phone numbers and credentials are removed before anything is written, and a shop’s error records are deleted with the rest of its data.

Breaches. If personal data you control is exposed, we will notify you without undue delay and within 72 hours of becoming aware, stating what is known and what is not yet known.

Demonstrating compliance. On reasonable request we will provide the information needed to show that these obligations are being met.

Your obligations. You are responsible for having a lawful basis to process your customers’ data, and for telling your customers how it is used — including that a quote is emailed to them through a service provider on your behalf.

Availability

The service is provided as is, without warranty of uninterrupted availability. Scheduled maintenance and Shopify API changes can affect it. Where Shopify changes an API in a way that alters how prices resolve, the fix will be treated as urgent, because a wrong price is the most damaging failure this app can have.

Limitation of liability

To the extent permitted by law, Mama Dog LLC’s total liability arising from use of Counterline is limited to the amount paid for the service in the twelve months preceding the claim. Neither party is liable for indirect or consequential loss.

Termination

You may stop using Counterline at any time by uninstalling it. Data retention after uninstall is described in the Privacy Policy. We may suspend an account that breaches these terms, and will say why.

Governing law

These terms are governed by the laws of the State of Texas, United States, and disputes are subject to the exclusive jurisdiction of the courts located there.
